Terms & Conditions

These Terms & Conditions (“Terms”) govern all quotations, orders, sales, and supply of goods and services by Spectrum Medical Devices (“the Company,” “we,” “us,” or “our”), a healthcare equipment and disposables importer, exporter, and domestic supplier based in New Delhi, India, to any customer, hospital, distributor, or institution (“Customer” or “you”). By placing an order, signing a quotation, or otherwise engaging the Company's products or services, you agree to be bound by these Terms.
1. Products & Quotations
All product descriptions, specifications, and images provided by the Company are for general guidance only and are sourced from the original equipment manufacturers we represent. Quotations are valid for the period stated therein and are subject to change without notice due to currency fluctuation, manufacturer price revisions, or regulatory changes, unless a firm validity period has been agreed in writing.
All products supplied are sourced from manufacturers operating under Good Manufacturing Practice (GMP) standards and, where applicable, hold valid CDSCO registrations, CE marking, or equivalent regulatory approvals for the Indian market.
2. Orders & Payment
- Orders are confirmed only upon written acknowledgement (email or purchase order confirmation) from the Company.
- Payment terms (advance, part-advance, or credit period) will be specified on the invoice or as agreed in a separate commercial agreement.
- All prices are exclusive of applicable taxes (including GST) and customs duties unless stated otherwise.
- Delayed payments may attract interest and/or suspension of pending deliveries, at the Company's discretion.
3. Delivery & Risk
Delivery timelines communicated at the time of order are estimates based on manufacturer lead times, customs clearance, and logistics, and are not guaranteed unless expressly agreed in writing. Risk in the goods passes to the Customer upon delivery to the carrier or the Customer's nominated site, as applicable. Title to the goods passes only upon receipt of full payment.
4. Warranty & Returns
Products are covered by the original manufacturer's warranty, the terms of which will be provided at the time of sale. The Company will assist in facilitating warranty claims with the relevant manufacturer but does not independently extend warranties beyond those offered by the manufacturer.
Disposable and single-use items, once delivered and accepted, are non-returnable and non-refundable except in the case of a manufacturing defect or shipping damage reported within 48 hours of receipt, supported by photographic evidence and the original invoice.
5. Regulatory Compliance
The Company operates under an ISO 13485:2016-certified Quality Management System. Customers are responsible for the appropriate clinical use, storage, and handling of all medical devices and disposables supplied, in accordance with manufacturer instructions and applicable healthcare regulations.
6. Intellectual Property
The Spectrum Medical Devices name, logo, and all associated branding are the property of the Company. Product names, trademarks, and logos of third-party manufacturers remain the property of their respective owners and are used with permission for distribution purposes.
7. Limitation of Liability
To the fullest extent permitted by law, the Company's liability in connection with any order shall not exceed the value of the goods or services supplied under that order. The Company shall not be liable for any indirect, incidental, or consequential loss, including loss of profits or clinical downtime, arising from the use of products supplied.
8. Confidentiality
Any pricing, technical, or commercial information shared between the parties in connection with an order shall be treated as confidential and shall not be disclosed to third parties without prior written consent, except as required by law.
9. Force Majeure
The Company shall not be held liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, government action, import/export restrictions, or manufacturer supply disruptions.
10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts at New Delhi, India.
11. Amendments
The Company reserves the right to update or modify these Terms at any time. The version in effect at the time an order is placed shall apply to that order.
